1. Studio Engagement Model
Vorabion Software Studio ("Vorabion") operates as an independent software studio collaborating with a curated network of senior designers, software engineers, AI specialists, and cloud architects depending on client project requirements. By accessing our website (https://vorabion.com) or engaging our services, you agree to comply with these Terms & Conditions.
2. Code & Intellectual Property Ownership
100% Client Code Ownership: Upon full payment of agreed project milestones, Vorabion transfers complete intellectual property rights, copyright, and source code ownership of custom deliverables to the client.
Pre-existing open-source libraries, third-party frameworks (e.g. Next.js, React, Laravel), and studio core utilities remain licensed under their respective open-source or proprietary licenses.
3. Proposals, Milestones & Delivery
All custom software projects are governed by detailed proposals, Statement of Work (SOW) documents, or milestone schedules. Milestones define specific technical deliverables, testing criteria, and review periods. Revisions outside agreed SOW specifications will be handled via mutual written change requests.
4. Confidentiality
Both parties agree to hold all proprietary trade secrets, business logic, customer data, and technical specifications in strict confidence. Mutual Non-Disclosure Agreements (NDAs) signed prior to project execution remain fully enforceable alongside these terms.
